NON-DISCLOSURE AGREEMENT (NDA)

1. Purpose. The Disclosing Party may share confidential or proprietary information (“Confidential Information”) solely for the purpose of evaluating or pursuing potential business, investment, or advisory opportunities related to the cannabis sector (“Purpose”).
2. Definition of Confidential Information. All non-public data, documents, discussions, recordings, financials, investor decks, regulatory drafts, and other material—whether written, oral, visual, or electronic—disclosed by the Disclosing Party, marked confidential or reasonably understood to be confidential.
3. Obligations of Recipient. Recipient shall (a) keep all Confidential Information strictly confidential; (b) use it only for the Purpose; (c) restrict access to employees or advisers on a strict need-to-know basis, provided they are bound by equal or stricter confidentiality duties; and (d) promptly notify the Disclosing Party of any unauthorised disclosure.
4. Exclusions. Confidential Information does not include data that is or becomes public through no breach by Recipient; was already lawfully known to Recipient; is independently developed without reference to the Confidential Information; or is disclosed pursuant to a valid court or regulatory order (with prior written notice to the Disclosing Party, where legally permissible).
5. Term. This Agreement begins on the Effective Date and remains in force for five (5) years from the date of each disclosure or until released in writing by the Disclosing Party, whichever comes first.
6. Return or Destruction. Upon written request, Recipient shall return or securely destroy all Confidential Information, including copies, except for one archival copy kept solely for legal-compliance purposes.
7. No Licence. Nothing herein grants Recipient any intellectual-property rights or licence under any patent, trademark, copyright, or trade secret.
8. Governing Law & Jurisdiction. This Agreement is governed by the laws of Ireland. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Dublin.
9. Electronic Signature. The parties agree that execution of this Agreement by electronic means—including clicking the consent box below—constitutes a legally binding signature under the EU eIDAS Regulation and any applicable electronic-signature laws.
